MIMTAC Sales Agreement
Effective Date: 01.01.2023

This Sales Agreement (“Agreement”) is entered into between MIMTAC (“Seller”) and the undersigned customer (“Buyer”) for the purchase of products and services provided by MIMTAC. By making a purchase, the Buyer acknowledges and agrees to the terms outlined in this Agreement.

1. Products and Services:

The Seller agrees to provide the Buyer with the products and/or services described in the order confirmation or invoice. The Buyer agrees to pay the agreed-upon price for these products and services.

2. Purchase Orders and Payment: Buyer shall submit a purchase order specifying the desired products and quantities. Payment terms shall be as specified in the order confirmation or invoice. Payment must be made in full prior to delivery unless otherwise agreed upon.

3. Prices and Payment:

Prices for products and services are as listed on the order confirmation or invoice. The Buyer shall make payment in the currency specified and via the payment methods accepted by the Seller.

4. Delivery and Acceptance:

Delivery dates are approximate and subject to change. The Buyer shall inspect products upon receipt and promptly report any discrepancies or defects to the Seller. Failure to do so within a reasonable timeframe shall constitute acceptance of the products.

5. Returns and Refunds:

6. Limited Warranty:

The Seller warrants that products shall be free from defects in materials and workmanship for a period of [Warranty Period]. If a defect arises within the Warranty Period, the Seller may choose to repair or replace the defective product.

7. Limitation of Liability:

The Seller’s liability for any claim arising from this Agreement shall be limited to the amount paid by the Buyer for the products and services under this Agreement.

8. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising out of this Agreement shall be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction].

9. Entire Agreement:

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, understandings, and communications.

By making a purchase, the Buyer agrees to the terms and conditions of this Sales Agreement.
